JOB TITLE:  Corporate Secretary/Legal Officer
REPORTS TO:  Directly to the Board of Directors and administratively, through the Managing Director (MD)
JOB PURPOSE:  The incumbent will ensure compliance with all statutory requirements; operational best practices and guide implementation of decision of the Board of Directors. Also to provide legal advice.
 
Major duties and Responsibilities
1. Provides advice and counsel on all corporate governance and legal issues to the Board and senior Management and ensure compliance with principles of good governance.
2. Arranges, schedules and attends Board, committee and annual shareholder meetings, prepare for circulation all agendas and papers for Board and committee meetings and record Minutes and resolutions.
3. Monitors implementation of the decisions of the Board of Directors and provides advice and information to the Chairman and management on all matters of corporate governance.
4. Develops and implements efficient systems and procedures to ensure compliance with all statutory and legal requirements in accordance with the relevant Laws of Trinidad and Tobago and official compliance/reporting schedules.
5. Designs and conducts regular corporate governance reviews
6. Coordinates preparation and distribution of Annual Reports, establishes and maintains the Companys corporate records and instruments in an efficient, confidential manner and execute documents on its behalf.
7. Reviews Notes to the Board of Directors and sub-committees of the Board of Directors to ensure compliance with by-laws, tender rules and best practices prior to submission.
8. Ensures the competent representation of the Company in all legal matters; drafts and reviews all legal documents, provides legal opinions and briefs and formulates /reviews legal policies of the Company.
9. Performs related duties as assigned.
Required Qualifications, Experience and Skills:
" An LLB from an accredited University and an Attorney at  Law admitted to practice in Trinidad and Tobago or possess a LEC or professional qualification from the UK Law Society;
" Minimum of five (5) years post qualification experience in a similar position;
" Considerable knowledge of the Laws of Trinidad and Tobago, including the Companies Act, Contract law and other related laws;
" Knowledge of legal principles and practices;
" Knowledge of Corporate Governance procedures and practices;
" Excellent written and oral communication skills
